Retreat Terms and Conditions

TERMS AND CONDITIONS

We conduct an adventure and self-discovery journey, "Icelandic Horse , Yoga, and Cultural Retreat" in Iceland. You have been accepted to participate in this retreat subject to your agreement to these Terms and Conditions of Registration and Engagement and upon receipt of your deposit.

Definitions and Interpretation

"Us" or "We" means Cathy Woods and Heather Wallace trading as "Icelandic Horse and Rider Retreat”.

"You" or "Your" means the individual whose details are set out in Item 1 of the Schedule of this Agreement.

"Agreement" means this Agreement.

"Commercial Partners" means any third party with whom a contract is entered into by Us for the exploitation of the Commercial Rights.

"Commercial Rights" means any and all rights of a commercial nature connected with the Retreat including, without limitation, broadcasting rights, sponsorship rights, merchandising and licensing rights, ticketing rights, promotional rights, catering and hospitality rights and interactive games rights.

"Registration fee" means the amount set out in Item 2 of the Schedule of this Agreement.

"Retreat" means Icelandic Horse and Yoga Retreat as particularized in the Schedule.

"Retreat Period" means as particularized in the Schedule or such longer or shorter period as the Retreat Director may notify to You.

"Retreat Marks" means the retreat titles, words and logos which are owned or controlled by Us.

"Retreat Rules" means the rules in respect of the Retreat as notified by Us to You.

"Itinerary" means the schedule of relevant dates, activities and retreats relating to and/or comprising part of the Retreat as set out in the Schedule or as nominated by Us.

"Payment Terms" means the payment terms nominated in Item 8 of the Schedule; and

"Relevant Laws" means all legislation, codes of practice, standards, guidelines and regulations (in each case having the force of law) together with all applicable regulations and rules (including the Retreat Rules) applicable to the Retreat and otherwise to the subject matter (whether obligations, goods or services) in question.

The headings in this Agreement are inserted for convenience only and shall not affect its construction. The word "including" is not to be treated as a word of limitation.

Registration and Participation

You agree to enter and participate in the Retreat upon and subject to these terms.

Registration fees.

Payment Schedule

Double occupancy $3675/ Single occupancy $4425

The deposit is 1/3 of the balance due at registration to secure your spot.

Balance due March 1, 2023.

The deposit is non-refundable and will be forfeited to Us by You if you withdraw from the Icelandic Horse and Yoga Retreat and we are unable to fill your spo

In consideration of the acceptance of your entry to participate in the retreat by Us, you agree to pay Us the registration fee in accordance with the Payment Terms and as directed by Us.

You must pay the registration fee to us through the online payment service PayPal®. We will provide You with the payment details once You have accepted these terms and the Retreat Rules. The event is hosted by Cathy Woods and Heather Wallace but operated in its entirety by Season Tours.

Failure to pay the registration fee in full when specified by Us shall entitle Us to disqualify You from participation in the Retreat.

Our Obligations

We represent, warrant and undertake:

We have full right and title and authority to enter into this Agreement and to accept and perform the obligations imposed on it under this Agreement.

to use all reasonable endeavors to organize, manage and stage the Retreat.

to use all reasonable endeavors to organizer the Retreat and provide You with updates or amendments to the retreat schedule regularly.

Your Obligations

You represent, warrant and undertake (at Your sole expense where relevant and unless otherwise specified):

that You have, and will continue to have throughout the Term, full right and title and authority to enter into this Agreement and to accept and perform the obligations imposed on it.

that You are or will be 18 years of age or older as at the commencement of the Retreat.

that all statements made in Your application form, communications with Us or otherwise made to Us are true and accurate, including statements relating to Your prior horse-riding experience and You acknowledge and accept that We have relied upon these statements in accepting your registration for a place in the Retreat.

that You will take out and maintain the insurances required under clause 6.3.

that You are in good health and know of no reason, physical or mental, why You could be unable to participate in the Retreat and engage in the activities comprised therein or would otherwise be advised by a competent medical professional not to engage in the Retreat.

that You shall be present at the designated starting point ready to commence participation in the Retreat on the first day of the Retreat Period, and will otherwise attend each of the retreats set out in the Retreats Schedule.

that You will remain solely liable for the payment of all, and any taxes, surcharges, levies, imposts, fines, penalties or similar charges incurred by You or any other participant in connection with the participation in the Retreat;

that You shall not do anything or permit anything to be done which might adversely affect the Commercial Rights.

that You shall observe and comply with, in addition to these terms and the Retreat Rules, all Relevant Laws and any other directions, codes of practice or guidelines imposed by national law or any competent authority applicable to the Retreat.

that You shall promptly observe and comply with all reasonable instructions, directions or regulations issued by or on behalf of Us including those relating to the organization staging, safety and image of the Retreat.

that You understand the necessity to take out insurance at your sole expense to in order to participate in the Retreat, especially to cover the needs of rescue or support from any location connected with the Retreat and that You will be solely responsible for obtaining and maintaining the currency of all and any such insurance which may be necessary to cover all relevant risks of their participation in the Retreat.

You acknowledge that you are responsible for

your travel arrangements to and from the starting location of the Retreat.

Intellectual Property and Confidentiality

In consideration of the acceptance of Your entry to participate in the Retreat, you hereby acknowledge and agree that and in relation to the Retreat including its name, logotype, format and films and photographs of the Retreat all Intellectual Property Rights arising from shall be exclusively vested in Us.

Termination

We have the right at any time to terminate this Agreement immediately by giving written notice to you.

We shall have the right to terminate this Agreement by providing fourteen (14) days' notice in writing to You in the retreat that we no longer wish, or are no longer able, to stage the Retreat. As the nature of the Retreat and our operation is that costs are incurred in the region of the Retreat, there is no guarantee that any refund will be made by Us to You of the registration fee although we will do our best to recompense you for the entirety.

Force majeure

We shall not be held liable or deemed to be in default under this Agreement for any failure to perform an obligation if such failure results directly or indirectly from circumstances beyond our reasonable control ("Force Majeure"). Force Majeure includes but is not limited to strikes, lockouts, civil warfare, flood or fire damage, environmental calamity, inclement weather, acts of God, legal enactment, governmental order, regulatory enactments and/or orders, imposition of sanctions by a country against the territory where any part of the Retreat is to be held that adversely affects the staging of the Retreat, any action taken by a governmental or public authority of any kind (including not granting a consent, exemption, approval or clearance), epidemic and disease, civil strife, terrorism (threatened or actual), and war.

If any retreat of Force Majeure delays or prevents the performance of the obligations of Us for a continuous period of seven (7) days, we shall be entitled to give notice to terminate this Agreement with immediate effect without penalty. Such a termination notice shall be irrevocable.

Risk, Indemnity, Release and Insurance

You acknowledge that all horse sports and participation in the Retreat involve serious risk of harm, including, but not limited to, risks of accident, serious bodily injury (including death, broken bones, head injuries, trauma, pain, fatigue, and dehydration.

You voluntarily elect to enter into this Agreement and assume all risks of loss, damages, injury or death that may be sustained, incurred or suffered and You will participate in the Retreat in accordance with this Agreement entirely at your own risk.

You undertake and agree that You will irrevocably indemnify Us for and all costs and expenses (including legal costs), actions, proceedings, claims, demands and damage arising from:

a breach of Your representations, warranties or undertakings contained herein; or

arising from the acts or omissions of You or any of your respective officers, employers, agents or sub-contractors.

You release Us from all costs and expenses (including legal costs), actions, proceedings, claims, demands and damage which you might have against Us in relation to your participation in the Retreat.

General

This Agreement shall constitute the entire agreement between the parties with respect to the subject matter hereof, and shall supersede any prior agreements, representations or understanding between the parties, whether written or oral.

This Agreement may be executed in any number of counterparts, each of which when executed shall constitute an original, but all of which when taken together shall constitute one and the same Agreement.

All rights, remedies and powers conferred upon the parties are cumulative and shall not be deemed to be exclusive of any other rights, remedies or powers now or subsequently conferred upon them by law or otherwise.

Should any term of this Agreement be considered void or voidable under any such applicable law, then such terms shall be served or amended in such a manner as to render the remainder of this Agreement valid or enforceable.

Nothing in this Agreement shall be deemed to constitute a joint venture, partnership or relationship of agency or employment between the parties.

You shall not be permitted to assign any of its rights or obligations under this Agreement.

Our Service

Our service includes, but is not limited to:

Information on what to pack or bring to the retreat.

Pick up from Reykjavik hotel meeting point and transfer to our retreat site.

Horses, saddles, and bridles are provided by the Retreat.

Breakfast, snacks, and dinner during the retreat will be provided.

Accommodations at a local farm.

Daily guided meditation and yoga.

Daily riding and sightseeing.

Return transfer to Reykjavik hotel meeting point.

Retreat

The retreat will take place in Iceland, one of the most beautiful countries in the world.

Riders must ride with the group and adhere to guidelines set forth by Hosts or Tour Operator with respect.

Once Riders have arrived at the retreat they must remain there unless they are under the supervision of either Cathy Woods or Heather Wallace. Riders are not permitted to leave without the consent of management for your safety.

Rider’s Responsibilities

The rider is responsible to insure her own registration and trip to Iceland, evacuation from the remote location, repatriation to your country, and medical/hospital care. Ensure that your provider/s understand that you are entering a horse holiday.

We will not recommend any insurance policy nor take any responsibility regarding the rider’s insurance choice. It is up to the riders to get an appropriate insurance.

The rider is responsible to bring the appropriate gear to ride, long pants and footwear suitable for riding.

The riders agree to notify Retreat management if they do not wish to allow use of any picture of them for promotional materials otherwise the Retreat reserves the right to use the picture, videos.

Riders must arrange and pay for their own flights and accommodation prior to the commencement of the Icelandic Horse and Yoga Retreat.

Riders must organize their own Visa, if required by their home country and follow Covid protocols set in place, if applicable.

Riders must remain with the Retreat for the duration of the retreat unless permitted by the Retreat management to leave the retreat for example if the Rider is hurt or requires hospital treatment.
